1. Using this site

This site exists to describe the studio and let you start an audit. Notes are written for general guidance. They're not legal, financial or engineering advice for your specific situation. The content is mine (or licensed); please don't reproduce it wholesale without asking. Quoting a paragraph with a link back is fine and appreciated.

2. The audit

The audit is a flat $950. That covers:

• A written, expert review of the materials you send.
• A plain-English debrief delivered within about a week of receiving payment + materials.
• One fixed quote for a build, if a build makes sense.
• An optional follow-up consult, if you requested one at questionnaire time.

The questionnaire is free and acts as a fit-check; the $950 is invoiced only once I've reviewed it and confirmed I can genuinely help. If we're not a fit, no money changes hands. Once the audit has been written and delivered, the fee is non-refundable because the work has been done. If you proceed to a build, the $950 is credited against the build invoice.

3. The build

Build engagements are quoted from your audit; there's no standing sticker price. The full terms of your build live in a separate signed contract that covers scope, milestones, payment schedule, change-handling, hosting, IP, indemnities and termination. The short version that applies to every build:

• Fixed quote. The audit ends with one exact price for the agreed scope. Scope changes are repriced before they're built.
• Milestone-paid. Each milestone is invoiced and signed off before the next starts. No 50% up front and disappear for three months.
• Working software early. You see usable software well before launch, not a single big-bang reveal.

4. The care plan

Once you're live, an optional monthly care plan covers hosting oversight, security updates, fixes and small improvements. It's priced dynamically based on the scale of your app (typically starting at a low monthly retainer to keep the lights on), and quoted alongside your build, never priced ahead of time. Cancellable with 30 days' notice. Some larger engagements use a revenue-share arrangement instead; that's agreed in writing too.

5. Ownership & handoff

This is the part I want to put in writing as plainly as possible.

• You own everything I build for you. Code, database schema, generated assets, all yours, assigned on final payment of each milestone.
• You own the accounts. Domain, hosting, Stripe, email provider, third-party services, all set up in your name (or transferred to you) from day one, not at the end.
• I keep generic know-how. Patterns, snippets and approaches I'd use again on any other project remain mine to reuse, but never with your data, your branding, or anything specific to your business.
• You can walk away any time. Cancel a build or care plan and I'll hand over everything in your name. No hostage situation.

6. Liability

I take engineering seriously and treat security as a first-class concern, not a finishing flourish. That said, software has bugs and the internet is the internet. To the extent allowed by law, Foundation's liability for any single engagement is capped at the fees you paid for that engagement in the 12 months before the issue arose. Nothing here limits liability for fraud, gross negligence or anything that can't be limited by law.

7. Changes to these terms

If I change anything material on this page, I'll bump the "last updated" date at the top and, for active clients, flag the change in writing. Older versions are available on request.

8. Governing law & contact

These terms are governed by the laws of the studio's home jurisdiction (specified in your engagement contract). For anything site-level, write to hello@foundation.example.
